1. Introduction & Acceptance

These Terms of Use constitute a legally binding agreement between you and Velocity TV(including THE MARK WEB SOLUTIONS and/or its affiliates) governing your access to and use of the Velocity TV website, applications, features, content, and services (collectively, the "Service"). This electronic record is generated under the Information Technology Act, 2000, and the rules made thereunder. No physical or digital signature is required.

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, Velocity TV Privacy Policy, and all other operational policies incorporated herein by reference. If you do not agree, you must discontinue use immediately.

You confirm that you are at least 18 years of age, or are using the Service under the supervision of a parent/guardian who controls the account. You agree to comply with all applicable Indian laws, including digital and online safety regulations.

2. Access to Services

Subject to these Terms, Velocity TV grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

Velocity TV may provide content in different formats, including streaming and temporary offline downloads, which may vary by device, location, and Internet availability.

2.1 Geo Restriction Compliance

Certain content or features may be accessible only within India or in specific regions due to licensing obligations. You agree not to use VPNs, proxies, DNS manipulation, GPS spoofing, device modifications, or any other method to bypass geographic restrictions.

Velocity TV reserves the right to suspend or restrict access if geocircumvention is detected.

2.2 Service Modifications & Changes

Velocity TV may modify, suspend, or discontinue the Service or any part of it for operational, technical, or legal reasons. Efforts will be made to minimise disruption where possible, but no prior notice is required under the law.

2.3 Internet & Device Requirements

You acknowledge that your ability to access content depends on device compatibility, bandwidth, and internet conditions. Velocity TV is not responsible for performance issues outside its control.

3. Registration & Eligibility

To access certain features of the Service, you must create a Velocity TV account ("Account"). By creating an Account, you agree to the following:

3.1 Accuracy of Information

You must provide accurate, complete, and up-to-date information, including your name, email address, and/or mobile number. You agree to update this information whenever necessary.

3.2 Eligibility

• You must be at least 18 years old, or
• If you are a minor, you may access the Service only under the supervision of a parent or legal guardian, and only the supervising adult may register and control the Account.

3.3 Prohibited Account Activities

You agree not to:

• Create an account using false details.
• Impersonate any person or entity.
• Use another user's Account without express permission.
• Create accounts for fraudulent or misleading purposes.

Velocity TV reserves the right to deny registration or terminate existing Accounts at its sole discretion.

3.4 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. All activity occurring under your Account will be deemed authorised by you.

Velocity TV is not responsible for any unauthorised access arising from your negligence (such as device compromise, password sharing, or insecure handling of credentials).

3.5 Mobile Number Changes

If you change or deactivate your mobile number, you must update your Account within 48 hours to prevent messages from being misdirected.

4. Content & User Submissions

Velocity TV provides access to a wide range of licensed and proprietary content, including audio-visual works, webcomics, animations, text, scripts, graphics, and other materials ("Velocity TV Content"). All Velocity TV Content is protected by applicable intellectual property laws.

4.1 License to Access Velocity TV Content

Velocity TV grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Content solely for your personal, non-commercial use. No rights, title, or interest in the Content is transferred to you.

You agree not to:

• download, copy, reproduce, distribute, or create derivative works except where explicitly permitted;
• circumvent DRM, geographic filters, or technological safeguards;
• use the Content for commercial, training, machine learning, or data extraction purposes.

4.2 User Submissions

Users may upload, submit, or post content, including comments, audio, text, artwork, or other materials ("User Submissions").

By posting or submitting User Submissions, you grant Velocity TVan irrevocable, worldwide, royalty-free, perpetual, transferable license to:

• host, store, reproduce, distribute, modify, adapt, publicly display, and create derivative works;
• promote, market, or redistribute such content across Velocity TV platforms and third-party media.

This license is necessary for Velocity TV to operate, distribute, and optimise the Service.

4.3 Your Warranties on User Submissions

You represent and warrant that:

• You own or have all rights to your User Submissions;
• Your User Submissions do not infringe any third-party rights, including copyright, privacy, or publicity rights;
• Your content complies with Indian laws, including the IT Act 2000, IT Rules 2021, and DPDPA 2023.

4.4 Content Moderation & Removal

Velocity TV may remove or restrict access to any Content or User Submission that:

• violates these Terms or applicable Indian laws;
• contains prohibited material (e.g., CSAM, obscene content, hate speech, unauthorised copyrighted material);
• poses risks to user safety, platform integrity, or public order.

Velocity TVis not obligated to monitor all Submissions but may do so as required under the IT Rules 2021 and in response to valid grievances.

4.5 Persistence of Removed Content

If you delete your User Submissions, they will be removed from public display. However:

• Backup copies may persist for a reasonable time.
• Previously downloaded or accessed content may remain with other users.

5. Payments, Subscriptions & Refunds

Certain content and features on Velocity TVare accessible only through a paid subscription ("Premium Access"). By subscribing, you agree to the following terms:

5.1 Subscription & Billing

To access Premium Access, you must provide one or more valid payment methods, such as:

• credit/debit cards,
• UPI,
• net banking,
• approved digital wallets,
• or any method supported by Velocity TV's authorised payment partners.

Your subscription may automatically renew at the end of each billing cycle unless you cancel before the renewal date. By enabling auto-renewal, you authorise Velocity TV or its payment partners to charge your selected payment method.

5.2 Payment Processing

Payments are processed by third-party payment gateways. Velocity TV:

• does not control payment delays, failures, or gateway errors,
• is not liable for unauthorised transactions caused by user negligence or payment partner issues.

You are responsible for ensuring your payment information is accurate and updated.

5.3 Pricing Changes

Velocity TV may modify subscription pricing or introduce new plans. Any updated pricing will apply from the next billing cycle unless mandated otherwise by law.

5.4 Cancellation

You may cancel your subscription at any time through: Account → Subscription → Cancel Subscription

Upon cancellation:

• You retain access until the end of the current billing period.
• No further charges will be applied unless you reactivate.
• Partial billing periods are not prorated.

5.5 Refunds

Payments are generally non-refundable, in line with digital goods norms and permissible under Indian consumer law.

Velocity TV may offer refunds only in limited, exceptional cases, such as:

• duplicate payment,
• technical failure preventing access to Premium Content,
• other cases where required by law.

Refunds, if approved, are processed to the original payment method.

5.6 Device & Access Limitations

Velocity TV may restrict simultaneous streams or device usage to prevent misuse. Temporary offline downloads may be available, but are subject to:

• DRM protection,
• automatic expiration,
• geographic and technical limitations.

5.7 Taxes

All prices displayed may include applicable taxes. Velocity TV will comply with applicable GST and indirect tax requirements as mandated by law.

6. Rules of Conduct

As a condition of using the Service, you agree to comply with these Rules of Conduct and all applicable Indian laws, including the Information Technology Act, 2000, IT Rules 2021, and any other digital safety requirements.

You agree not to engage in any activity that:

6.1 Violates the Law or Rights of Others

You must not upload, share, transmit, or store content that:

• belongs to another person without authorisation;
• is defamatory, obscene, pornographic, paedophilic, invasive of privacy, libellous, hateful, or otherwise unlawful;
• harms minors in any way, including CSAM (subject to mandatory takedown within 24 hours under Indian law);
• infringes intellectual property rights (copyright, trademark, patent, trade secret);
• threatens the unity, integrity, defence, security, or sovereignty of India;
• misleads or impersonates another person.

6.2 Misuse of Platform Features

You must not:

• use bots, scripts, scrapers, or automated tools to harvest or access data;
• upload malware, viruses, worms, or any malicious code;
• interfere with, disrupt, or overload servers, networks, or platform operations;
• attempt to gain unauthorised access to accounts, databases, or systems;
• bypass or tamper with DRM, geo-restrictions, device limitations, or security mechanisms.

6.3 Misleading or Fraudulent Behaviour

Prohibited actions include:

• impersonating Velocity TV staff or another user;
• submitting false reports or misleading complaints;
• artificially inflating engagement metrics (likes, views, plays, etc.);
• modifying or reverse engineering any part of the Service.

6.4 Prohibited Use of Content

You may not:

• extract or use Velocity TV Content for training AI/ML models, datasets, or algorithmic development;
• use the Service or Content for commercial activities without written permission;
• Repost, broadcast, or distribute Content outside the platform unless explicitly allowed.

6.5 Platform Safety & Abuse Prevention

Velocity TV may restrict or terminate accounts that:

• Repeatedly violate content rules;
• engage in harassment, bullying, stalking, or abusive conduct;
• attempt to manipulate platform features or commit fraud;
• pose a risk to user safety or platform integrity.

Velocity TV may remove content, suspend accounts, or report violations to relevant authorities when required under Indian law.

If you encounter unsafe or illegal content, you should immediately use the in-app Report Content feature.

7. Service Availability, Maintenance & Technical Failures

Velocity TV strives to provide a reliable and seamless experience, but does not guarantee uninterrupted access to the Service.

7.1 Service Availability

Access to the Service may be affected by factors including device compatibility, internet connectivity, network conditions, and technical limitations. Velocity TV does not warrant that the Service will always be available without interruptions, delays, or errors.

7.2 Scheduled Maintenance & Updates

Velocity TV may temporarily suspend or restrict access to the Service, in whole or in part, for:

• scheduled maintenance,
• system upgrades,
• security enhancements,
• performance improvements, or
• feature updates.

Where reasonably possible, Velocity TV will attempt to minimise disruption, but advance notice may not always be feasible.

7.3 Unscheduled Outages & Force Majeure

The Service may experience interruptions due to circumstances beyond Velocity TV’s reasonable control, including but not limited to:

• server or network failures,
• third-party service outages,
• power or telecom disruptions,
• acts of God, natural disasters, strikes, government orders, or legal compliance requirements.

Velocity TV shall not be liable for any loss or inconvenience arising from such interruptions.

7.4 Software Updates & Compatibility

Velocity TV may automatically deploy updates, patches, or fixes to ensure security, functionality, and compliance. Certain features may require the latest app version, and failure to update may limit or prevent access to the Service.

Velocity TV does not guarantee compatibility with all devices, operating systems, or versions thereof.

7.5 Data Loss & Technical Errors

While reasonable safeguards are implemented, Velocity TV is not responsible for:

• loss of user data,
• corruption of cached or downloaded content,
• playback issues,
• errors caused by device limitations, third-party software, or unauthorised modifications.

Users are advised to maintain backups where applicable.

7.6 No Liability for Service Interruptions

Temporary unavailability of the Service shall not entitle users to refunds, credits, or compensation, except where expressly required under applicable Indian law.

8. Intellectual Property

All intellectual property rights in and to the Velocity TV platform, including but not limited to all audio, video, text, graphics, illustrations, animations, characters, logos, trademarks, software, code, user interfaces, and other materials made available through the Service ("Velocity TV Content"), are owned by or licensed to Velocity TV and are protected under applicable Indian intellectual property laws.

8.1 License to Use

Subject to compliance with these Terms, Velocity TV grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Velocity TV Content solely for your personal and non-commercial use.

This license does not grant you ownership of any Velocity TV Content.

8.2 Restrictions

You shall not, directly or indirectly:

• copy, reproduce, distribute, display, sell, license, or exploit any Velocity TV Content;
• modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service;
• remove, obscure, or alter any copyright, trademark, or proprietary notices;
• use Velocity TV Content for commercial purposes, data mining, scraping, or competitive analysis;
• use Velocity TV Content for training artificial intelligence, machine learning models, or datasets without written permission.

8.3 Trademarks

All trademarks, service marks, logos, and brand identifiers displayed on the Service are the property of Velocity TV or their respective owners. Nothing in these Terms grants you the right to use any trademark without prior written consent.

8.4 Enforcement

Any unauthorised use of Velocity TV Content may result in termination of access and legal action under applicable Indian laws.

9. Third-Party Interactions

The Service may contain links to, integrations with, advertisements for, or content provided by third-party websites, applications, or services ("Third-Party Services").

9.1 No Control or Endorsement

Velocity TV does not control, endorse, or assume responsibility for:

• the content, accuracy, or availability of Third-Party Services;
• the practices, policies, or actions of third parties;
• any loss, damage, or dispute arising from your interaction with such services.

9.2 Third-Party Transactions

Any transactions, communications, or engagements you enter into with Third-Party Services are solely between you and the third party. Velocity TV shall not be liable for:

• payment disputes,
• data misuse by third parties,
• service failures or losses caused by Third-Party Services.

9.3 External Links

Links to external websites are provided for convenience only. Accessing such links is at your own risk, and you are encouraged to review their terms and privacy policies independently.

10. Warranty Disclaimer

The Velocity TV Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted under applicable Indian law, Velocity TV expressly disclaims all warranties of any kind, whether express or implied, including but not limited to warranties of:

• merchantability,
• fitness for a particular purpose,
• non-infringement,
• accuracy or reliability of content,
• uninterrupted or error-free operation.

Velocity TV does not warrant that:

• the Service will meet your expectations or requirements;
• access will be continuous, timely, secure, or error-free;
• defects or technical issues will be corrected immediately;
• Content will always be available or remain unchanged.

Some consumer rights may apply under Indian law; however, nothing in these Terms guarantees uninterrupted availability or flawless performance of the Service.

11. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Velocity TV, its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• loss of profits or revenue,
• loss of data or content,
• loss of goodwill or reputation,
• service interruptions or delays,
• device damage or software incompatibility.

Velocity TV shall not be liable for any damages arising from:

• your use or inability to use the Service;
• unauthorised access to or alteration of your data;
• reliance on any content made available through the Service;
• actions or omissions of other users or third parties.

Notwithstanding anything to the contrary, Velocity TV’s total liability for any claim arising out of or relating to the Service shall not exceed the lower of:

• the total subscription fees paid by you in the six (6) months preceding the claim, or
• INR 1,000.

Nothing in these Terms limits liability where such limitation is prohibited under applicable Indian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Velocity TV and its affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your breach of these Terms;
• your violation of any applicable law or regulation;
• infringement of any third-party rights by your content or actions;
• misuse of the Service or Velocity TV Content.

Velocity TV reserves the right to assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate fully in such defence.

13. Copyright / Takedown Procedure

Velocity TV respects intellectual property rights and complies with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

13.1 Reporting Infringement

If you believe that content on Velocity TV infringes your copyright, you may submit a written complaint containing:

• An email address, physical address, or phone number so that we can contact you.
• A clear and complete description of your work that you believe has been infringed.
• The URL or other identifying location of the allegedly infringing work.
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or law.
• A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or are authorised to act on behalf of the owner, along with details establishing that you or the person on whose behalf the notification is being made is the bona fide owner of the copyright in the work that has been allegedly infringed.
• Undertaking that you or the person on whose behalf the notification is being made shall file an infringement suit in the competent court against the person responsible for uploading the infringing copy and produce the orders of the competent court having jurisdiction within a period of twenty-one days from the receipt of this notification.
• The physical or electronic signature of the copyright owner or an authorised representative of the copyright owner. To satisfy this requirement, you may type your full legal name (not that of a company) at the bottom of your notification.

14.2 Grievance Handling Process:

Velocity TV shall:

• acknowledge grievances within 24 hours;
• resolve complaints within 15 working days, or sooner where required by law.

We may contact you for additional information. We request you to respond promptly; failure to provide the requested details may delay resolution.

Users are encouraged to use the in-app reporting and grievance mechanisms for faster resolution.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law, the courts of Bengaluru, Karnataka, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

16. Modification of Terms

Velocity TV reserves the right to modify, update, or revise these Terms at any time to reflect:

• changes in law or regulation,
• platform updates,
• business or operational requirements.

Updated Terms will be published on the Service. Continued use of the Service after such updates constitutes acceptance of the revised Terms. Material changes may be notified through the app or website where required by law.

17. Miscellaneous

17.1 Severability

If any provision of these Terms is held invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.2 Waiver

Failure by Velocity TV to enforce any right or provision shall not constitute a waiver of such right or provision.

17.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. Velocity TV may assign its rights and obligations without restriction.

17.4 Entire Agreement

These Terms, together with the Privacy Policy and any additional policies referenced, constitute the entire agreement between you and Velocity TV regarding the Service and supersede all prior agreements or understandings.
